Terms and Conditions

1.1 Parties

This Click-wrap Agreement ("Agreement") is entered into by and between [SpecCon Holdings (Pty) Ltd.], a company registered in South Africa, having its principal place of business at [Cambridge Office Park, Building C, 5 Bauhinia Street, Highveld Technopark, Centurion 0157] ("Licensor"), and the consumer ("Licensee").

1.2 Definitions

This Click-wrap Agreement a. "Software" refers to the [SpecCon Website], including any updates or modifications.
b. "License" means the right granted by the Licensor to the Licensee to use the Software under the terms of this Agreement.

1.3 License Grant

a. Subject to the terms and conditions of this Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable license to use the Software in accordance with the terms herein.
b. The Licensee may utilize the Software on any number of devices owned or controlled by the Licensee.

1.4 Ownership

a. The Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights.
b. The Licensee acknowledges that this Agreement does not convey any ownership rights to the Software.

1.5 Restrictions

a. The Licensee shall not sublicense, sell, distribute, lease, or otherwise transfer the Software to any third party without the prior written consent of the Licensor.
b. The Licensee shall not reverse engineer, decompile, disassemble, or modify the Software in any way.

1.6 Support and Maintenance

a. The Licensor may provide support and maintenance for the Software during the term of this Agreement as outlined in a separate support agreement, if applicable.

1.7 Warranties

a. The Licensor warrants that it has the authority to grant the Licensee the rights provided in this Agreement.
b. The Software is provided "as is," and the Licensor makes no warranties regarding the performance, reliability, or suitability of the Software for any particular purpose.

1.8 Limitation of Liability

a. To the maximum extent permitted by law, the Licensor shall not be liable for any indirect, incidental, special, or consequential damages arising out of or relating to the use or inability to use the Software.

1.9 Governing Law and Jurisdiction

a. This Agreement shall be governed by and construed in accordance with the laws of South Africa.
b. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts in South Africa.

1.10 Compliance with Laws

a. The parties agree to comply with all applicable laws and regulations, including but not limited to the South African Cyber laws and the Consumer Protection Act.

1.11 Termination

a. This Agreement shall remain in effect until terminated by either party.
b. The Licensor may terminate this Agreement immediately upon written notice if the Licensee breaches any material term of this Agreement.

1.12 Entire Agreement

a. This Agreement constitutes the entire understanding between the parties concerning the subject matter herein and supersedes all prior agreements, representations, and understandings.
